This Service Order supplements and is subject to the terms and conditions provided in the Master Business Service Agreement including any other applicable Addendum, Attachments, Exhibits or Service Orders. This Service Order is also subject to the terms published in Midco's Annual Notice to Customers, Internet Subscriber Agreement, Acceptable Use Policy, and Cable, Internet, & Telephone Subscriber Privacy Notice, which can be found at Midco.com/Legal. By signing up for Midco service, the Customer agrees to receive service-related email and text communications from Midco. To opt out, please contact Midco, edit email preferences in your email, or reply “STOP” to a text message.
TERMS AND CONDITIONS APPLICABLE TO BUSINESS TEXTING
- APPLICABILITY
All services and features associated with Midco Business Texting—including, but not limited to, messaging capabilities, campaign management, and number provisioning (collectively, the “Product”)—are subject to the terms and conditions outlined in this Agreement.
- MIDCO TEXTING GUIDELINES
The Customer agrees to review and comply with the Business Texting Guidelines provided by Midco, available at: (INSERT LINK). The Customer must ensure that their use of the Product complies with all applicable laws, regulations, and the terms outlined in these guidelines.
- CUSTOMER RESTRICTIONS
Customer agrees not to:
- Resell, modify, or distribute the Product without Midco’s prior written consent.
- Engage in unauthorized commercial activities that compete with Midco’s business interests or offer a similar Product or services to Midco’s customer base.
- Participate in unlawful or harmful activities, including data breaches, hacking, or other cybercriminal behavior that could damage Midco’s reputation or result in legal consequences.
- Share, transmit, or disclose Protected Health Information (PHI), Personally Identifiable Information (PII), or any other sensitive data that could identify an individual (e.g., names, addresses, phone numbers, email addresses, Social Security numbers, medical records, financial or tax information, educational records, criminal justice data, or payment card details).
- Transmit bulk text messages, spam, or unsolicited communications in violation of applicable laws and regulations.
- Violate the Midco Master Business Service Agreement or any related addendums, attachments, exhibits, or service orders.
- Use the Product for illegal activities, infringe on intellectual property rights, or engage in actions that could harm the network or other users.
- Fail to comply with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), other federal or state texting laws, and Canada’s Anti-Spam Legislation (CASL).
- Fail to implement and maintain appropriate security measures to protect systems and data.
- Fail to promptly report any security breaches or unauthorized use of the Product to Midco.
- CUSTOMER OBLIGATIONS
The Customer shall:
- Adhere to the campaign guidelines outlined in the Midco Business Texting Configuration Form.
- Indicate whether Direct Inward Dialing (DID) numbers are required from Midco.
- Use Midco-provided numbering or port existing numbers to Midco’s network to enable texting services.
- Notify Midco of any significant campaign changes, as modifications require a new registry and cannot be made to an existing campaign.
- Accurately report usage data and comply with all applicable data protection and privacy laws.
- Operate the Product only at locations authorized by Midco and ensure timely payment of all fees to avoid service suspension.
- Comply with all applicable laws and regulations while using the Product.
- Refrain from using the Product for illegal activities, intellectual property infringement, or actions that could harm the network or other users.
- Implement and maintain appropriate security measures to protect systems and data.
- Promptly report any security breaches or unauthorized use of the Product to Midco.
- RENEWAL
At the end of the Service Term specified in the Service Order, this Agreement will automatically renew on a month-to-month basis at the then-current list price.
- FEES, SERVICE CHANGES AND ADDITIONAL LINES
The “Midco Business Texting Call Plan” is non-contracted and will appear as a separate line item on the Customer’s invoice, distinct from the standard “Business Texting” monthly rate. Midco reserves the right to adjust this rate with at least thirty (30) days written notice. These changes will not follow standard contract modification procedures.
For any service changes or the addition of lines under the Product, a new Service Order must be executed. The new order will follow the same terms as the original Service Order. Midco will update the relevant documentation to reflect any changes in charges, which may affect the Customer’s billing. Early disconnection of texting services before the end of the Service Term will be subject to Midco’s standard Early Termination Fee policy.
- BUSINESS TEXTING SPECIFIC TERMS AND CONDITIONS
Unauthorized use of the Product may result in service termination or number blocking, at Midco’s sole discretion. Campaign registration guidelines must be followed accurately, as improperly registered campaigns may be flagged as spam and blocked. International texting is prohibited, except to Canadian numbers.
Midco reserves the right to immediately suspend or terminate service upon any violation of these terms. Upon termination or suspension, all obligations under this Service Order will cease, except for those provisions that are intended to survive termination. The Customer remains responsible for all charges incurred as outlined in the Service Order.
- CANADIAN LAW COMPLIANCE
The Customer agrees to comply with Canada’s Anti-Spam Legislation (CASL) when sending Commercial Electronic Messages (CEMs) to Canadian recipients. This includes obtaining valid written consent prior to sending CEMs and providing a clear, accessible method for recipients to opt out. Non-compliance may result in legal action and penalties.
